Lockspect Terms of Service

1. Acceptance of these Terms & what Lockspect is
By creating an account, accepting an invitation to join a company, or using Lockspect in any way, you agree to these Terms of Service (“Terms”) on behalf of yourself and, if you are acting for a business, that business (“Company”).
Lockspect is a software-as-a-service platform for trade businesses that carry out on-site inspections and quoting — starting with solar installers, and built to extend to other trades doing similar site visits (electricians, plumbers, HVAC). It lets a Company's staff record structured, tamper-proof site-visit checklists, generate quotes from that data, and manage their team's access to the Company's records.
If you do not agree to these Terms, do not use Lockspect.
2. Accounts, companies and roles
- Individual accounts. You need your own account, tied to your own email address, to use Lockspect. You are responsible for keeping your login credentials secure and for all activity under your account.
- Company workspaces. Each Company using Lockspect has its own isolated workspace. A Company's data is never visible to another Company.
- Joining a Company. You join a Company either by creating it (making you its owner) or by accepting an invitation from an existing member. Accepting an invitation requires both a valid invitation link and a matching, confirmed email address.
- Roles. Each Company member holds a role (e.g. owner, admin, rep, electrician) that determines what they can see and do. Owners and admins are responsible for managing their Company's membership, including removing people who should no longer have access.
- Your responsibility for your team. If you are an owner or admin, you are responsible for the conduct of the people you invite into your Company's workspace, and for making sure only authorised staff have access.
3. Subscriptions, billing and plans
- Per-company subscriptions. Lockspect is billed per Company, on a subscription tier based on the number of seats (team members) the Company needs.
- Field testing. As at the date of these Terms, Lockspect is in a field-testing period and is not yet charging Companies. We will give reasonable notice before introducing billing.
- Future billing. When billing is introduced, payments will be processed by a third-party payment processor. Lockspect does not store your card or bank details.
- Price changes. We may change subscription prices with reasonable notice; changes will not apply to a billing period that has already started.
- Cancellation. A Company owner may cancel its subscription at any time; cancellation takes effect at the end of the current billing period.
- Non-payment. We may suspend or limit a Company's access if payment is overdue, after reasonable notice.
4. Content and data you submit
- Your data, your ownership. As between you and Lockspect, your Company owns the data it enters into Lockspect — customer details, site and property information (e.g. switchboard, battery and roof details, energy retailer and NMI), photos, quotes and pricing (“Company Data”).
- Licence to us. You grant Lockspect a limited licence to host, store, process and display Company Data solely to provide the service to your Company (and, where a Company member is jointly working a job, to other authorised members of the same Company).
- Locked, tamper-proof records. Lockspect's core feature is that once a site-visit checklist is locked, it becomes a permanent record. It cannot be edited or deleted afterwards — not by you, and not by us through ordinary means. Any later change creates a new, separate version linked to the same job, rather than altering the original. You should make sure the information you enter before locking a checklist is accurate, because the locked record cannot later be changed to correct it.
- Accuracy. You are responsible for the accuracy of the data your Company enters into Lockspect, including anything relied on for compliance, quoting or contractual purposes.
5. Acceptable use
You must not:
- access, or try to access, another Company's data, or any part of Lockspect you are not authorised to use;
- share your login, or an invitation intended for someone else, or otherwise misuse Company invitations or seats;
- use Lockspect to store or transmit unlawful, defamatory, or infringing content;
- reverse engineer, scrape, or attempt to extract the underlying software or source code of Lockspect;
- interfere with or disrupt the service, including attempting to bypass security features such as CAPTCHA or session controls;
- use Lockspect in a way that breaches any law applicable to you or your Company.
We may suspend or terminate access for a breach of this section.
6. Intellectual property
- Our IP. Lockspect owns all rights in the Lockspect software, platform, design and branding. Nothing in these Terms transfers any of that to you or your Company.
- Your IP. Your Company retains ownership of the Company Data it inputs into Lockspect. We only use it as set out in section 4 and our Privacy Policy.
- Feedback. If you give us feedback or suggestions about Lockspect, we may use them without any obligation to you.
7. Termination and suspension
- By you. A Company owner may stop using Lockspect and cancel its subscription at any time.
- By us. We may suspend or terminate a Company's access if: it breaches these Terms; payment is significantly overdue; we reasonably believe the account is being misused; or we are required to by law.
- On termination. Your Company will have a reasonable window to export its data after termination. After that window, we may delete the Company's account data. Locked, tamper-proof site-visit records are retained in line with the retention rules in our Privacy Policy, even after a Company's subscription ends, unless we are legally required to delete them sooner.
8. Disclaimers, liability and indemnity
- No professional advice. Lockspect is a record-keeping and quoting tool. It does not replace, and is not a substitute for, your own professional trade, electrical or compliance judgement, sign-off or qualifications. You remain responsible for the accuracy and compliance of your work.
- “As is”. Lockspect is provided “as is” and “as available”. To the maximum extent permitted by law, we exclude all warranties not expressly stated in these Terms.
- Limitation of liability. To the maximum extent permitted by law, our total liability to you or your Company for any claim arising from these Terms or your use of Lockspect is limited to the amount your Company paid us in the 12 months before the claim arose. We are not liable for indirect, consequential, or special loss, or loss of profits, data or business, except where the law does not allow that exclusion.
- Australian Consumer Law. Nothing in these Terms excludes, restricts or modifies any guarantee, right or remedy under the Australian Consumer Law (or any other law) that cannot lawfully be excluded.
- Indemnity. You agree to indemnify Lockspect against losses we reasonably incur arising from your (or your Company's) breach of these Terms or misuse of the service.
9. Governing law, changes and contact
- Governing law. These Terms are governed by the laws of New South Wales, Australia, and you submit to the non-exclusive jurisdiction of its courts.
- Changes. We may update these Terms from time to time. We will give reasonable notice of material changes (e.g. by email or in-app notice) before they take effect.
